¿Autónomo o sociedad limitada? Cómo elegir y cuándo dar el saltoSole trader or limited company? How to choose and when to make the switch
A sole trader is liable for debts with all their assets; in an S.L. the company is liable, although that protection has exceptions.
A sole trader pays personal income tax, which is progressive; a company pays Corporate Tax, at flat rates.
Comparing rates is not enough: taking money out of the company, through salary or dividends, is also taxed.
A company costs more to run: accounting, annual accounts and a higher social security contribution as a company director.
Starting as a sole trader is not a mistake, it is a stage. The switch depends on profit, withdrawals, risk and partners.
It is one of the questions we are asked most often: should I register as a sole trader or set up an S.L.? There is no answer that suits everyone, but there are clear criteria for deciding.
The underlying difference is simple. As a sole trader, it is you, as an individual, who carries on the business: you invoice in your own name and pay personal income tax on your profit. With a limited company you create a legal entity separate from yourself: the company invoices, has its own assets and pays Corporate Tax on its profit.
Every other difference stems from that one: who is liable for the debts, how much tax you pay, how much the structure costs to maintain and how you take money out of the business.
Las cuatro diferencias que de verdad decidenThe four differences that really decide it
1. De qué respondes si algo sale mal1. What you are liable for if something goes wrong
This is the most important difference and the one most often overlooked.
A sole trader is liable for the debts of their business with all their present and future assets: the house, the car, the savings. The Limited Liability Entrepreneur scheme allows the main home to be protected, subject to requirements and limits, but the protection is only partial.
In a limited company, the party liable for the debts is the company, with its own assets. In principle, shareholders risk only what they have contributed. But be careful: that barrier is not absolute. Directors can be liable with their own assets if they breach their legal duties, and many banks require personal guarantees when lending to a small company, which in practice puts the risk back on the shareholder.
That is why the useful question is not how much you will invoice, but how much you could lose if the business goes wrong: debts with suppliers, initial investment, liability towards clients, employees on the payroll.
2. Cómo tributa el beneficio2. How the profit is taxed
This is the economic core of the decision.
A sole trader pays personal income tax, which is progressive: the more you earn, the higher the rate applied to the top band of your income, rising above 45% for the highest incomes. Either way, you are taxed on the whole profit, whether or not you need it to live on.
A company pays Corporate Tax, at flat rates that do not depend on what the shareholder earns:
- 25 % de tipo general.25% general rate.
- 19 % hasta 50.000 € de base y 21 % el resto, para microempresas que facturan menos de 1 M€.19% on the first €50,000 of taxable base and 21% on the rest, for micro-companies with turnover below €1M.
- 23 % para empresas de reducida dimensión, de 1 a 10 M€.23% for small companies with turnover between €1M and €10M.
- 15 % para entidades de nueva creación, el primer año con beneficios y el siguiente.15% for newly created companies, in the first year with profits and the following one.
The practical upshot: with low or medium profits, personal income tax usually works out the same or cheaper, because the first bands are gentle. Above a certain level of stable profit, the company's flat rate starts to pay off.
But beware of simply comparing rates, because there is a second toll: the money in the company is not yours until you take it out, and taking it out is also taxed. If you pay it to yourself as a director's salary, it goes into your personal income tax as employment income. If you distribute it as a dividend, it is taxed again in your return, in the savings base.
That is why a company pays off especially when you do not need the whole profit to live on and part of it stays in the business to be reinvested: buying machinery, hiring, growing.
3. Lo que cuesta mantener cada estructura3. What each structure costs to maintain
Setting up a company requires a notary, the Companies Registry, a tax ID and share capital, which since 2022 can be as little as €1, although with specific rules until it reaches €3,000.
La diferencia mayor, sin embargo, no está en el alta sino en el día a día:The bigger difference, however, lies not in setting up but in the day-to-day:
The sole trader keeps records of income, expenses and capital assets, and files VAT, withholdings and their personal income tax prepayments.
The company keeps accounts under the Spanish General Accounting Plan, has its books legalised, files annual accounts with the Companies Registry and files Corporate Tax. In addition, its transactions with shareholders and directors are related-party transactions and must be valued at market price.
As for social security, a sole trader contributes according to their actual net income, with a contribution ranging from around €200 to just over €600 a month depending on the band, and a flat rate of €80 a month during the first year for those starting out. The director of an S.L. contributes as a company self-employed worker, with a higher minimum contribution base than an ordinary sole trader. In other words: the company does not free you from the contribution, and it usually makes it more expensive.
4. Cómo te ven desde fuera4. How others see you
An S.L. conveys structure. In practice, this matters when you negotiate with corporate clients that only work with companies, when you enter tenders and supplier approval processes, when you apply for bank financing or when you want to bring in partners or investors.
And there is a purely practical reason: a company lets you share out ownership. If the project belongs to several people, being a sole trader soon falls short, because there is no clean way to divide up stakes, decisions and profits.
¿Cuándo debe un autónomo plantearse el cambio? When should a sole trader consider switching?
No hay una cifra mágica de facturación. Hay señales:There is no magic turnover figure. There are signs:
Your profit is high and stable. Not one good year: a trend. The switch makes sense when the effective rate you pay in personal income tax comfortably exceeds what you would pay in Corporate Tax plus what it costs to take the money out.
You do not need the whole profit to live on. If every year you leave money in the business to reinvest, a company lets you do so taxed at the Corporate Tax rate.
El riesgo ha crecido. Has contratado personal, firmas contratos de mayor importe, te has endeudado o manejas responsabilidad frente a terceros. The risk has grown. You have hired staff, you sign larger contracts, you have taken on debt or you carry liability towards third parties.
You are bringing in a partner. This is probably the clearest reason of all.
Your clients or your banks ask for it. Key accounts, public tenders or a funding round.
You plan to sell the business one day. Transferring shares is much simpler than transferring a sole trader's business.
And there is also a time of year that matters: if you have already decided to switch, it is worth planning the transition with the financial year in mind, rather than rushing it in January.
¿Y si todavía estoy empezando? What if I am just starting out?
If you are setting up the business now, the question changes slightly.
Starting as a sole trader usually makes sense if you are still validating the idea, income will be modest at first, the initial investment is low, the risk towards third parties is limited and you work alone. It is cheaper, faster and easier to undo if things do not work out.
Setting up a company straight away usually makes sense if you will have partners from day one, you need investment or bank financing, the activity involves significant financial risk, your target clients are large companies or your business plan foresees high profits from the outset.
An important point: starting as a sole trader is not a mistake that has to be corrected later. It is a stage. Many solid businesses start that way and make the switch when the numbers call for it.
Cambiar de autónomo a S.L.: lo que conviene saberSwitching from sole trader to S.L.: what you need to know
The switch is not automatic, nor is it just a matter of 'opening a company'. It involves setting up the company, registering it for the activity, deciding what is transferred from the previous business (clients, contracts, machinery, stock, brand) and how, defining your relationship with the company as director or employee, and deciding what happens to your sole trader registration.
Each of those decisions has tax consequences. Contributing assets or an entire business to a company can trigger tax, and there are special regimes for business restructurings that are worth analysing before, not after.
What is expensive is not usually setting up the company. What is expensive is making the transfer without having planned it.
Errores frecuentesCommon mistakes
Deciding on the tax rate alone. Comparing 25% with your marginal personal income tax rate without counting what it costs to take money out of the company leads to the wrong conclusions.
Setting up an S.L. 'for image' without the volume to sustain it, and ending up paying for accounting, annual accounts and the company director's contribution with no advantage in return.
Trusting that limited liability always protects you. It protects you neither against personal guarantees nor against a director's breach of duties.
Mixing personal and company assets. It is one of the main sources of tax and liability problems. We explain how to avoid it in separating personal and business finances.
- Cambiar tarde. Switching too late. Dragging years of high profits through personal income tax for not sitting down to run the numbers.
Entonces, ¿cuál es la opción correcta? So which option is the right one?
The one that fits your business today and what you have planned for the coming years.
The decision comes from combining four things: how much you will earn, how much you need to take out, how much risk you take on and who you work with. With those four facts on the table, the answer is usually fairly clear. Without them, it is a hunch.

Preguntas frecuentesFrequently asked questions
From what income is a company worthwhile?+
There is no magic figure. Above a certain recurring profit, the Corporate Tax rate works out better than personal income tax, but you also have to factor in the cost of taking that money out of the company, through salary or dividends. A company pays off above all when part of the profit stays in to be reinvested.
Can I switch from sole trader to company later?+
Yes, it is very common. Many businesses start as sole traders and set up a company when they grow. The transition can be done in an orderly way and, in certain cases, even with tax neutrality.
¿La sociedad protege siempre mi patrimonio personal?Does the company always protect my personal assets?+
Not absolutely. In principle, shareholders risk only what they have contributed, but that barrier has exceptions: directors can be liable with their own assets if they breach their legal duties, and banks usually ask for personal guarantees when lending to a small company.
¿Es mucho más caro tener una sociedad? Is having a company much more expensive?+
It has costs a sole trader does not: incorporation, accounting under the Spanish General Accounting Plan, filing annual accounts and a higher social security contribution as a company director. They pay off when there is enough volume and risk to justify them; setting up a company purely for image usually proves expensive.
