Cómo afecta tu estructura societaria a tu rentaCompany structure and your income tax return

Tax forms and a logbook on a desk

As a sole trader, all your business profit is taxed in your personal income tax in the same year.
With a company, the company is taxed on its profit and you are taxed only on what you receive from it.
Salary, dividends, interest or rent: each way of drawing income is taxed differently.
What the company pays you must be valued at market price.
The decisions that count are made before December 31, not during the tax return campaign.

Two business owners with the same business and the same profit can file very different income tax returns. The difference lies not in what they earn but in how their earnings are organised: whether they invoice as sole traders, through a company or with a holding company above it. In this article we look at how each structure affects your personal income tax and what is worth reviewing before the year ends.

Si eres autónomoIf you are a sole trader

As a sole trader, you and your business are, for tax purposes, the same person. The net income from your activity —revenue minus deductible expenses— is added to your other income in your return and taxed under the progressive income tax scale in the same year it is generated. There is no way to leave profits "parked" in the business: everything you earn is taxed in your return, whether you take it out or not.

La respondemos con detalle en ¿autónomo o sociedad limitada?.That is why, as profit grows, the question of whether to switch to a company becomes unavoidable. We answer it in detail in sole trader or limited company?.

Si eres socio de una sociedadIf you are a partner in a company

With a company, the business profit is first taxed under Corporate Tax. You, as a partner, are only taxed in your personal income tax on what the company pays you. And this is the key: drawing income one way is not the same as another.

Pay for your work. What you receive for working in or managing the company is taxed as general income, under the progressive scale, like a salary. Depending on your relationship with the company and its activity, it may be classed as employment income or business income.
  • Dividendos. Dividends. Profit distributions are taxed in the savings base, under a different scale from salary. But that profit has already paid Corporate Tax.
  • Intereses. Interest. If you have lent money to your company and it pays you interest, that is also taxed in your return.
  • Alquileres. Rent. If the company uses premises or a home you own and pays you rent, you declare it as income from property.
Benefits in kind. A company car, housing, insurance or other personal expenses paid by the company are also income for you and must be declared.

Being a partner, moreover, does not in itself mean drawing anything. If the company doesn't pay you and reinvests, your return doesn't reflect that profit, which gives you room to decide when and how to take money out that a sole trader doesn't have. That room comes with a catch: the company's money belongs to the company, and taking it out without a clear basis —salary, dividend or documented loan— creates tax and corporate problems.

The split between salary and dividends makes a difference. A salary is an expense for the company and reduces its Corporate Tax, but is taxed on your general scale. A dividend is not an expense for the company, but is taxed in your savings base. The optimal mix depends on your other income, what you need to live on and the company's plans, and is worked out case by case.

Transactions between you and your company are related-party transactions, and must be valued as they would be between independent parties. That applies to your salary, the interest on a loan, the rent on a property or any service you provide. Charging too little or too much in order to pay less tax is one of the most frequent adjustments, especially in professional firms whose activity depends on the partners' personal work.

Documenting these transactions properly —contracts, shareholder resolutions, justification of the amount— is not bureaucracy: it is what allows you to defend them if a review comes.

Si tienes una holdingIf you have a holding company

When there is a holding company between you and your operating company, profits distributed by the operating company can reach the holding without going through your personal income tax, if the legal requirements are met. Your tax return will only reflect what the holding pays you. It is a powerful tool for reinvesting, but not for drawing income: the money you need to live on will be taxed in your return anyway. We explain it in holding company: pros, risks and when it pays.

Errores frecuentesCommon mistakes

Paying personal expenses through the company without declaring them as pay.
Distributing dividends out of habit, without working out whether a salary or retaining them would be better.
Setting the partner's salary without reference to market value or a documented agreement.
Lending money to the company, or receiving it from the company, without a contract.
Thinking about all this in May, during the tax return campaign, when nothing can be changed any more.

Qué hacer antes de que termine el añoWhat to do before the year ends

The income tax return is filed in spring, but decided during the previous year. Between October and December it is worth estimating the company's result and your personal income, deciding how much you will draw and in what form, checking that transactions with you are documented and, if your profit has grown significantly, considering whether your current structure is still the right one.
