Most of a company's legal problems are sown on the day it is set up.
The most expensive: choosing the wrong legal form, signing template articles and having no shareholder agreement.
Registering the company does not protect your brand: they are two different things.
  • Ser administrador conlleva obligaciones y responsabilidades personales.Being a director carries personal obligations and liabilities.
Fixing things later always costs more than getting them right at the start.

Starting a company today is quick. Starting it properly takes a little longer, and that time is the best investment you can make. Many of the partner disputes, decision-making deadlocks and scares with the Tax Agency or third parties that we see in companies that have been running for years originate in decisions taken in a hurry on the day of incorporation. These are the most common legal mistakes and how to avoid them.

1. Elegir la forma jurídica sin hacer números1. Choosing the legal form without running the numbers

The choice determines your liability for debts, your taxation, your running costs and how easy it is to bring in partners or investors. The typical mistake is deciding based on what an acquaintance did or what seems simplest today, without thinking about where you want to be in three years. We help you think it through in sole trader or limited company?.

2. Firmar unos estatutos de modelo2. Signing template articles of association

The articles of association are the company's operating rules. Standard templates are fine for incorporating quickly, but rarely match what the partners have agreed verbally. At least three things are worth reviewing: a corporate purpose that covers the activities you will carry out, neither too narrow nor so broad it says nothing; the majorities required for important decisions; and the transfer rules for shares, so that nobody can sell to a third party without the others having a say.

3. No firmar un pacto de socios3. Not signing a shareholder agreement

At the beginning everyone agrees. Problems come when one partner wants to leave, stops working on the project, doesn't contribute what they committed to, or when an investor comes in. A shareholder agreement governs exactly those situations: lock-in, commitment, what happens to the shares of whoever leaves, how deadlocks are resolved and how the company is valued in each case. We explain it in depth in shareholder agreement: the document that prevents the worst disputes.

4. Repartir el capital sin pensar en el futuro4. Splitting the equity without thinking ahead

A 50/50 split between two partners seems the fairest, but it is also the one that causes the most deadlocks: if there is no agreement, nobody can decide. Nor is it a good idea to give the same percentage to someone who will work full-time and someone who only contributes money or an idea, without any mechanism to balance it. Plan the split around what each person will contribute, not just what they contribute today.

5. Tratar el capital social como un trámite5. Treating share capital as a formality

The law now allows a limited company to be set up with very little capital, but doing so has implications: additional obligations until the reference capital is reached, and an image of weak solvency with banks and suppliers. And if a partner contributes assets instead of money —a vehicle, machinery, a client portfolio—, that contribution must be properly valued and documented.

Confusing the company name with the brand

Obtaining the company name at the Companies Register does not give you rights over the trade mark. They are separate registrations. Many companies discover, after investing in a website, branding and customers, that someone else has registered their brand or a very similar one. Check availability and register the trade mark before launching, at least in the classes of goods and services that matter to you.

Mixing personal and company assets

Paying personal expenses with the company card, taking money out of the company account without documenting it or lending it money without a contract are common habits in the first years. As well as complicating accounting and tax, they weaken the separation between your assets and the company's, which is precisely one of the reasons for setting up a company.

8. Desconocer las obligaciones del administrador8. Being unaware of a director's obligations

Being a director is not just about signing. It involves preparing and filing the annual accounts, calling general meetings when required, keeping the mandatory books and acting with diligence and loyalty. In situations of serious losses, the law imposes specific duties, and failing to meet them can make the director personally liable. And if the director is going to be paid for the role, that must be provided for in the articles.

9. Olvidar las obligaciones que llegan después9. Forgetting the obligations that come afterwards

Incorporation is only the beginning. Then come tax registrations, bookkeeping, any licences your activity requires, registering the partners who work in the company, data protection for customers and employees and the rest of your regulatory compliance obligations. Leaving them for "when there is time" usually ends in avoidable surcharges or penalties.

Cómo evitarlosHow to avoid them

The simplest way to avoid these mistakes is to spend one or two meetings, before going to the notary, thinking through the structure with someone who has seen many companies born and some run into trouble. At Guimaes, our legal advisory team reviews the legal form with you, drafts articles tailored to what you have agreed, prepares the shareholder agreement and handles the incorporation. And because tax and accounting sit in the same team, everything is coordinated from day one.
